Terms & Conditions

These Master Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between Sparv Interiors ("Sparv", "Studio", "We", "Us", or "Our") and the client ("Client", "You", or "Your") commissioning architectural design, spatial planning, 3D visualization, bespoke modular joinery, or turnkey interior execution services.

By executing a Project Proposal, commissioning a Design Session, issuing a booking advance/token, authorizing a Quotation, or granting site handover for execution, the Client unconditionally acknowledges that they have read, understood, and agreed to be bound by every provision articulated herein.

Sparv delivers bespoke solutions structured under three primary engagement models:

Where the Client selects a Design-Only engagement, Sparv does not assume general contractor liabilities for the workmanship, safety protocols, or schedules of independent third-party contractors hired by the Client.

Clients may schedule a private consultation session via our digital portal (design_session.html) or through our studio concierge.

• Pre-Consultation Requirement: The Client must furnish preliminary architectural floor plans, carpet area dimensions, property handover dates, and aesthetic guidelines at least 48 hours prior to the scheduled session.
• Rescheduling Policy: A confirmed Design Session may be rescheduled up to 24 hours in advance without penalty. Same-day cancellations or no-shows are subject to a consultation forfeiture fee.
• Advisory Nature: Preliminary Design Sessions and conceptual layout discussions are exploratory. Detailed 3D perspective models, structural load assessments, and formal bill of quantities (BOQ) are initiated only following execution of a formal Project Agreement and receipt of the requisite Design Retainer.

Our design journey is structured to balance artistic exploration with disciplined execution schedules.

The "Freeze Date" / Formal Sign-Off: Prior to procurement of materials and factory millwork machining, the Client must execute a formal, written Design Sign-Off Document accompanied by approved finish swatches and 2D working drawings. Once sign-off is granted, designs are frozen to enable factory precision tooling. Any changes requested subsequent to the Freeze Date shall be handled through Clause 09 (Variations & Change Orders).

To maintain the stringent delivery standards expected of Sparv, the Client assumes the following mandatory site obligations:

Delays resulting from restricted society working hours (e.g., afternoon quiet hours, weekend noise prohibitions, delayed society security clearances) shall automatically extend the contractual project completion date by a corresponding duration.

Sparv works exclusively with authentic, high-grade materials sourced from premier global mills and quarries. Clients must take note of the inherent physical characteristics of natural luxury materials:

• Sample Approval: Where practicable, Clients shall inspect and sign physical material swatches, marble slab photographs, or veneer flitches prior to procurement.
• Hardware & Fixtures: Premium hardware components (such as Blum, Hettich, Hafele, or equivalent concealed hinges and tandem drawer systems) carry their respective original manufacturer warranties. Sparv guarantees precise factory alignment and defect-free mounting.
• Material Obsolescence: In the rare event that a specified fabric, wallpaper, tile, or stone lot becomes unavailable or discontinued by the supplier after quotation sign-off, Sparv will present equal-or-superior alternative specifications for Client approval.

All quotations issued by Sparv remain valid for a period of twenty-one (21) calendar days from the date of presentation. Commercial engagements follow a strictly milestone-linked funding schedule:

Sparv prepares a comprehensive Gantt timeline detailing design phases, factory manufacturing durations, on-site civil works, and final detailing. Estimated handover dates are contingent upon the mutual fulfillment of contractual milestones.

• Client-Induced Extensions: Delays in milestone invoice settlements, tardy approval of 3D drawings or material samples, modifications to frozen layouts, or delays in procuring building society permissions shall extend the delivery schedule day-for-day, plus a reasonable remobilization buffer.
• Force Majeure: Sparv shall not be held liable for failure or delay in project delivery caused by events beyond reasonable human control, including but not limited to: natural disasters, severe floods, structural building emergencies, regional labor strikes, transportation strikes, pandemics, government lockdowns, or municipal stop-work orders unrelated to Sparv's acts.

In high-end interior architecture, evolving client preferences during execution are accommodated through a structured Client Change Order (CCO) process:

1. Any addition, reduction, or substitution of materials, civil walls, electrical points, or joinery dimensions requested after design freeze must be documented in writing.
2. Sparv will calculate the cost impact (positive or negative) and any revised timeline consequences in a formal Variation Quotation.
3. No variation work shall be initiated until the CCO is signed and the associated variation advance (100% for custom procured items, 50% for civil additions) is disbursed.

All conceptual drawings, space layout sketches, 3D renderings, mood boards, CAD files, detailing drawings, and custom furniture designs developed by Sparv Interiors remain the exclusive Intellectual Property (IP) and artistic copyright of Sparv Interiors.

Photography & Portfolio Publication: Sparv reserves the right to commission professional architectural photography and videography of the completed project prior to or shortly after handover for inclusion in Sparv's print, digital, awards, and editorial portfolios. Sparv shall protect client privacy by strictly withholding the Client's surname, specific apartment number, or confidential security details unless explicit written consent is granted.

Upon completion of installation and deep architectural cleaning, Sparv and the Client will conduct a comprehensive Joint Handover Walkthrough.

Sparv Workmanship Warranty Policy

Sparv provides a One (1) Year Comprehensive Workmanship Warranty from the date of final handover covering:

• Structural integrity and alignment of modular cabinetry carcasses and internal joinery.
• Defects in lamination bonding, edge-banding adhesion, or door hinge anchoring under standard domestic conditions.
• Pass-through of manufacturer warranties for third-party fittings (e.g., Blum/Hettich 5-10 year mechanical warranties).

Because luxury interior architecture involves custom procurement, high-grade stone slicing, bespoke millwork, and dedicated design resources, cancellations are governed under strict commercial terms:

• Cancellation During Concept Phase (Prior to 3D Sign-Off): The initial token/design retainer is non-refundable, as it compensates the studio for proprietary creative hours, spatial layout drafting, and dedicated design sessions.
• Cancellation After Design Freeze & Procurement: Once materials have been ordered or factory fabrication has begun (Milestone 2 and beyond), payments made toward custom-cut stone, specialized fabrics, imported fixtures, and modular woodwork are non-refundable.
• Reconciliation Account: Upon termination by either party, a financial reconciliation will be performed within twenty-one (21) days. The Client shall pay for all work completed, commitments made, and materials procured up to the date of notice. Any unencumbered balance remaining after settling vendor liabilities will be returned to the Client.

To the maximum extent permitted by applicable Indian law, Sparv Interiors' total aggregate liability arising out of or related to any project engagement, whether in contract, tort (including negligence), or otherwise, shall be strictly capped at the total professional design and project management fee received by Sparv for the specific project under dispute.

In no event shall Sparv be liable for indirect, incidental, consequential, special, or punitive damages, including loss of rental revenue, loss of property appreciation, or temporary relocation costs incurred by the Client.

The Client agrees to indemnify and hold harmless Sparv, its partners, principal designers, and project managers from any claims, fines, or damages asserted by housing societies, neighbors, or municipal bodies resulting from pre-existing property violations or instructions provided directly by the Client contrary to architectural advice.

This Agreement and any dispute, controversy, or claim arising out of or relating to its performance or breach shall be governed by and construed in accordance with the substantive laws of India.
